Tracey Zaccone co-leads the Firm’s Alternative Capital and Private Credit team. She has extensive experience structuring, and advising clients in connection with, hybrid and private capital financing transactions. Tracey has been a go-to advisor for leading private equity sponsors and their portfolio companies, as well as financial institutions, investors and public companies, in connection with the full spectrum of capital raising transactions.

She is highly skilled in developing complex, tailored private capital, hybrid and convertible instruments, including convertible and non-convertible debt and preferred instruments as well as secured and unsecured debt and warrant offerings in a wide variety of private, pre-IPO, PIPE and public transactions. Tracey also has extensive experience in connection with traditional capital markets matters including high yield bond offerings, initial public offerings and spin off transactions. She has also advised clients in connection with some of the most challenging and sophisticated out-of-court special situations matters in recent years.

Recognized among the nation’s leading finance attorneys by The Legal 500, she was also shortlisted by Euromoney for “Equity Capital Markets Lawyer of the Year.”

Based in the New York office, Tracey A. Zaccone co-leads the Alternative Capital and Private Credit group at Simpson Thacher. She has extensive experience structuring and advising clients in connection with hybrid and private capital financing transactions. Tracey has been a go-to advisor for leading private equity sponsors and their portfolio companies, as well as financial institutions, investors and public companies, in connection with the full spectrum of capital raising transactions. She is highly skilled in developing complex, tailored private capital, hybrid and convertible instruments, including convertible and non-convertible debt and preferred instruments as well as secured and unsecured debt and warrant offerings in a wide variety of private, pre-IPO, PIPE and public transactions. She has also advised clients in connection with some of the most challenging and sophisticated out-of-court special situations matters in recent years.

Tracey also has extensive experience in connection with traditional capital markets matters including high yield bond offerings, initial public offerings and spin off transactions. She has also advised clients regularly in debt restructuring transactions and has represented a number of clients in connection with consent solicitations, exchange offers and tender offers. She has advised clients, as well as boards of directors, with respect to corporate governance, NYSE and NASDAQ compliance matters. Prior to joining Simpson Thacher, Tracey was head of the Hybrid Capital practice and co-head of the Special Situations practice at another international law firm.

Prior to joining Simpson Thacher, Tracey’s notable representations include numerous engagements with Apollo Global Management and its portfolio companies, Oak Hill Advisors, The Carlyle Group, Hill Path Capital, Coatue Management, Oak Hill Partners,  and HPS Partners, among others.

Recognized among the nation’s leading finance attorneys by The Legal 500, she was also shortlisted in Euromoney’s Women in Business Law America Awards for “Equity Capital Markets Lawyer of the Year” in 2023 and for the “Best in Capital Markets – Debt” category in 2021. Tracey has also been named as one of Lawdragon’s “500 Leading Dealmakers in America” for the past several years. In addition, she has been recognized in the shortlist for the IFLR Americas Awards’ “Women Dealmakers Hall of Fame.”

Tracey received her B.A. from the University of Massachusetts in 1994 and her J.D. from Boston University School of Law, both magna cum laude. She is admitted to practice in New York.
